In these Terms and Conditions, the following definitions apply:

• "Nuvex" / "We" / "Us" / "Our" — refers to Nuvex, a GPU performance tuning education provider registered and operating from Jalan Dato Keramat 142, 10150 George Town, Pulau Pinang, Malaysia.
• "Website" — refers to the website accessible at https://nuvexi.live and all associated pages.
• "User" / "You" / "Your" — refers to any individual or organisation accessing the Website or participating in a Programme.
• "Programme" — refers to any of the educational offerings provided by Nuvex, including the Tuning Concepts Track, Hands-On Lab Series, and Team Coaching Programme.
• "Content" — refers to all materials, course notes, lab guides, exercises, handbooks, and related resources produced or provided by Nuvex.
• "Agreement" — refers to these Terms and Conditions together with our Privacy Policy and Cookie Policy.

By accessing our Website or submitting an enquiry, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, please refrain from using the Website or enrolling in any Programme.

To participate in any Programme, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By proceeding with enrolment, you confirm that these conditions are met.

Nuvex provides educational programmes focused on GPU performance tuning concepts and applied practices. Our current offerings are:

Programme availability is subject to scheduling capacity. We reserve the right to modify programme scope, format, or dates with reasonable advance notice.

Where an account or participant profile is created to access programme materials, you are responsible for maintaining the security of your access credentials. You must not share access with individuals who have not enrolled in the relevant Programme.

We reserve the right to suspend or terminate access where credentials are misused or where there is reasonable evidence of breach of these Terms.

When using the Website or participating in a Programme, you agree to:

• Provide accurate and truthful information during enquiry and enrolment
• Engage with programme content in a professional and constructive manner
• Respect the intellectual property and confidentiality of programme materials
• Not reproduce, distribute, or resell Content without written permission
• Not disrupt sessions or the learning environment for other participants
• Comply with all applicable Malaysian laws in your use of the Website

Breaches of these responsibilities may result in removal from a Programme without refund.

All Content, including but not limited to programme materials, lab guides, reference handbooks, website text, and graphics, is the intellectual property of Nuvex and is protected under Malaysian copyright law.

Upon enrolment, you are granted a limited, non-exclusive, non-transferable licence to access and use Content solely for your personal educational purposes within the scope of the enrolled Programme. This licence does not permit reproduction, redistribution, adaptation, or commercial use of any Content.

Any content you contribute during facilitated sessions (such as discussion responses or written exercises) remains your property; however, you grant Nuvex a non-exclusive right to use anonymised examples for educational illustration purposes.

All Programme fees are quoted in Malaysian Ringgit (RM) and are inclusive of any applicable taxes unless otherwise stated. Payment details will be provided upon confirmation of your enrolment.

For team engagements, custom payment schedules may be agreed in writing prior to commencement.

Enrolment in a Programme constitutes a binding agreement to participate under these Terms. By enrolling, you confirm that you meet any stated prerequisites.

Nuvex may modify programme content, scheduling, or delivery format where operationally necessary. Material changes will be communicated in advance, and participants will be given reasonable options including rescheduling.

Completion of a programme does not constitute a formal qualification or confer any regulated certification. Programme materials are provided for educational and professional development purposes only.

For the Team Coaching Programme, the scope of facilitated sessions and the content of reference handbooks will be confirmed in a separate engagement outline prior to commencement.

The Website and all Programmes are provided on an "as is" basis. While we take care in the preparation of our materials, Nuvex makes no representation or warranty as to the accuracy, completeness, or fitness for a particular purpose of any Content.

Participation in our Programmes does not constitute professional engineering advice. Learners should apply their own professional judgement when implementing concepts in their specific environments.

We do not warrant that the Website will be available without interruption or free from technical errors.

To the fullest extent permitted by Malaysian law, Nuvex shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Website or participation in a Programme, including but not limited to loss of business, data, or profit.

Our total liability in any matter relating to these Terms shall not exceed the total Programme fees paid by you in the 12 months preceding the relevant claim.

Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence, or any other liability that cannot be excluded under Malaysian law.

Either party may terminate an enrolment or engagement by providing written notice. Termination by the participant is subject to the refund policy in Section 7.

Nuvex may terminate access or remove a participant from a Programme without notice where there is a serious breach of these Terms. In such cases, no refund will be provided.

Provisions relating to intellectual property, liability, indemnification, and dispute resolution survive termination of this Agreement.

This Agreement is governed by and construed in accordance with the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally by contacting [email protected]. We will endeavour to respond within 14 business days.

Where informal resolution is not achieved, either party may refer the matter to mediation before the Malaysian Mediation Centre as a preferred first step before court proceedings.

Entire agreement: This Agreement constitutes the entire understanding between you and Nuvex and supersedes any prior communications regarding the same subject matter.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.

Waiver: Failure by Nuvex to enforce any provision shall not constitute a waiver of that provision.

Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign our rights to a successor entity.
